EXECUTIVE SUMMARY AGENDA ITEM: Request for consideration and approval of Subordination of Utility Interests to accommodate the Florida Department of Transportation's (FDOT) right-of-way acquisition for road widening, and improvements to CR 220 in Middleburg. Date: September 5, 2023 BACKGROUND: In conjunction with the Florida Department of Transportation's ("FDOT") right-of-way acquisition for road widening and improvements along CR 220 from Knight Boxx Road to Henley Road. FDOT has requested that CCUA subordinate several portions of its utility rights over five (5) parcels, as shown on FDOT's plan sheets. We have included the proposed Subordination of Utility Interest, prepared by FDOT,for your review and information. The subordination will affect CCUA's easement rights acquired in existing recorded easements and agreements; however, CCUA's interests will remain protected under this Subordination Agreement to construct, operate, co maintain, improve, add to, upgrade, remove, and relocate facilities. c a> co As shown on the attached CCUA GIS Maps and FDOT plan sheets, CCUA staff has been working o with Clay County's engineer of record to adjust the roadway design to avoid existing utility E conflicts wherever feasible. In the event an FDOT project directly impacts the Utility and II necessitates new construction or relocation of facilities, as agreed by the parties, the County has ce agreed to pay the cost of acquiring appropriate easement to bring such facilities to compliance with pertinent codes and standards. Additionally, if future roadway projects require the Utility to alter, adjust, or relocate its facilities in said lands, the County is responsible for paying the cost of such alteration, adjustment, or relocation, including but not limited to the cost of acquiring appropriate easement. This Subordination of Utility Interests is consistent with other Subordinations between FDOT, Clay County, and CCUA. Should FDOT's road widening,and improvements further interfere with or harm CCUA facilities, CCUA's interests will remain protected under this Subordination agreement. RECOMMENDATION: Staff recommends that the Board of Supervisors approve the Subordination of Utility Interests. NOW, THEREFORE, in consideration of the mutual covenants and promises of the parties hereto, Utility, County and Florida Department of Transportation agree as follows: I. OTHER PROVISIONS A. Notwithstanding any provisions set forth herein, the terms of the utility permits shall supersede any contrary provisions, with the exception of the provision herein with reimbursement rights. B. The Utility shall have the right to construct, operate, maintain, improve, add to, upgrade, remove, and relocate facilities on, within, and upon the lands described Page 3 of 18 herein in accordance with the Florida Department of Transportation's current minimum standards for such facilities as required by the Florida Department of Transportation, Utility Accommodation Manual in effect at the time the agreement is executed. Any new construction or relocation of facilities within the lands will be subject to prior approval by the Florida Department of Transportation. In the event a Florida Department of Transportation transportation project directly impacts the Utility and necessitates new construction or relocation of facilities, as agreed to by the parties, the County hereby agrees to pay the cost of such alteration, adjustment, or relocation, including, but not limited to, the cost of acquiring appropriate easements ("Utility Rights"), to the point of bringing such facilities to compliance with pertinent codes and standards. Additionally, should a request for new construction or relocation of facilities within the lands not be approved by the Florida Department of Transportation or the Florida Department of Transportation requires the Utility to alter, adjust, or relocate its facilities located within said lands, the Utility Rights, as stated above, shall apply. Furthermore, should a future Florida Department of Transportation project require that the Utility lands being subordinated pursuant to this Agreement be paved over in order to facilitate the Florida Department of Transportation project, the Utility shall also be allowed to avail itself of the same Utility Rights. to C. The Utility shall have a reasonable right to enter upon the lands described herein for the purposes outlined in Paragraph B above, including the right to trim such trees, brush, and growth which might endanger or interfere with such facilities, provided that such rights do not interfere with the operation and safety of the Florida Department of Transportation's facilities. D. The Utility agrees to repair any damage to Florida Department of Transportation facilities and to indemnify the Florida Department of Transportation against any loss or damage resulting from the Utility exercising its rights outlined in Paragraphs B and C above; provided, however, that the Utility's liability hereunder, when based on claims of negligence or other third party claims, shall be limited as provided for under § 768.28, Florida Statutes, as the same may be amended from time to time. E. The Florida Department of Transportation agrees to repair any damage to the Utility's facilities and improvements located upon, under, within, across or over the lands described herein and to indemnify the Utility against any loss or damage resulting from the Florida Department of Transportation's use of any such lands as a public road and right-of-way, provided, however, that the Florida Department of Transportation's liability hereunder, when based on claims of negligence or other third party claims, shall be limited as provided for under § 768.28, Florida Statutes, as the same may be amended from time to time. EXECUTION OF DOCUMENTS The parties agree that they shall promptly execute and deliver to the other all documents necessary to accomplish the intent and purpose of this Agreement and shall do all other acts to effectuate this Agreement, time being of the essence. V. ENTIRE AGREEMENT This instrument contains the entire agreement of the parties. No representations or promises have been made except those that are set out in this Agreement. All prior and contemporaneous conversations, negotiations, possible and alleged agreements and representations, covenants, and warranties with respect to the subject matter hereof are waived, merged herein and superseded hereby. VI. WAIVER The failure of any party to insist on one or more occasions the strict performance or compliance with a term, provision or otherwise of this Agreement shall not be deemed a waiver to or relinquished in the future of the enforcement thereof, and it shall continue in full force and effect unless waived or relinquished in writing by the party to be charged. VII. INTERPRETATION No provision in this Agreement shall be interpreted for or against any party because that party or that party's legal representative drafted the provision. VI II. CAPTIONS Paragraph title or captions contained herein are inserted as a matter of convenience and reference and in no way define, limit, extend, or describe the scope of this Agreement or any provision. VIIII. SEVERANCE If any section, paragraph, clause or provision of this Agreement is adjudged by a court of competent jurisdiction to be invalid and unenforceable, all remaining parts of this Agreement shall remain in full force and effect and the parties shall be bound thereby so long as the principle purposes of this Agreement remain enforceable. X. MODIFICATION OF AGREEMENT A modification or waiver of any of the provisions of this Agreement shall be effective only if made in writing and executed with the same formality as this Agreement.
