RESOLUTION BY WRITTEN CONSENT OF
THE SOLE MEMBER OF
SANDRIDGE LAND DEVELOPERS, LLC
The undersigned GREENPOINTE DEVELOPERS, LLC, a Delaware limited liability
company (`'Member..), as the sole Member of SANDRIDGE LAND DEVELOPERS, LLC, a
Delaware limited liability company (`'Company"), does hereby adopt the following resolutions
and approve all actions specified or contemplated herein.
WHEREAS.Section 6.2(a)of the Limited Liability Company Agreement of the Company.
dated December 1, 2020 ("Agreement"), permits the Member to appoint officers of the Company;
and
WHEREAS, the Member deems it advisable to appoint certain officers of the Company.
NOW, THEREFORE, BE IT RESOLVED that the following individual has been
appointed to the office indicated opposite his name and authorized to take actions and perform the
duties applicable to such office as described in the Agreement or as authorized by separate
resolution:
Liam O'Reilly Vice President
BE IT FURTHER RESOLVED, that the foregoing officer is authorized and directed to
to execute and deliver any papers or documents as may be appropriate or necessary to consummate
and to carry out the business of the Company, and the foregoing officer's duties and obligations
as an officer for the Company as called for in the Agreement, in furtherance of any purposes of
the Company.
