Professional Services Agreement 2018/2019 RFQ No. 3 to provide Professional Engineering Services for
Lake Asbury Master Plan Program Management.

BACKGROUND:
Clay County Utility Authority (CCUA) staff requests approval from the Board of Supervisors to execute
Supplemental Agreement No. 5 (SA5) with Dewberry-Hydro (DBH) to provide professional services for
the development and management of a Master Plan for pipeline mains in CCUA's Lake Asbury Master
Plan Area(LAMPA). These services include master planning,plan management, and cost apportionment.
CCUA received requests for utility service within the currently undeveloped region of Clay County
depicted in the attached map and additional requests are expected. To meet the anticipated demands of the
proposed and future developments, CCUA must begin planning and performing preliminary design of the
(0 potable,reclaimed, and sewer collection and distribution facilities.
=' CCUA requested the attached scope and fee proposal from DBH to develop a Master Plan for the area.
o DBH will evaluate CCUA's existing infrastructure and model and make recommendations for sizing and
L locations of future infrastructure. DBH will project expenditures and life-cycle costs for the improvements
= and propose alternatives for apportionment of those costs. DBH will then review plans and cost estimates

cc prepared by CCUA, CCUA's consultant, or the developer's consultant for conformance with the LAMPA.
As necessary, DBH will assist CCUA in engaging other professionals to provide design and construction
related services.These services are included in the agreement for the first five(5)anticipated utility projects
as shown in the attached map over two (2) years. Two (2) of the projects are anticipated to develop soon
and will be expedited.The remaining three(3)will follow.Development in the area will occur over several
years and the services described here will continue to provide value to CCUA and are,therefore, expected
to be extended by amendment to this agreement one or more times as deemed necessary by CCUA.
BUDGET:
Services performed this fiscal year will be paid for with funds from the existing CIP budget. Funding for
services performed in subsequent years are included in the proposed 5-year CIP.
CCNA:
CCNA, F.S. s. 287.055, does apply to the use of a consultant under continuing contract. The anticipated
cost of development and management of the Master Plan do not exceed $500,000.00. Staff negotiated the
Supplemental Agreement in compliance with F.S. s. 287.055. Staff and the consultant negotiated the scope
and fee for the professional services at a compensation which CCUA determines is fair, competitive, and
reasonable.
RECOMMENDATION:
Staff respectfully recommends the Board of Supervisors'approval of the attached Supplemental Agreement
No. 5 with Dewberry-Hydro for professional services for the development and program management of the
Authority's Lake Asbury Master Plan(LAMPA)in the amount of$239,460.50.

SCOPE OF SERVICES for the
Lake Asbury Master Plan Area Program Management
June 14, 2022
Dewberry I Hydro (CONSULTANT) has been requested by Clay County Utility Authority
(AUTHORITY) to provide professional services to assist the AUTHORITY in the program
development for major water mains, wastewater force mains, and reclaimed water mains within
the Lake Asbury Master Plan Area (LAMPA), including evaluation and recommendation of cost
apportionment for the first major segments to serve this development. The location and size of
this development will require the understanding of phasing improvements at multiple
AUTHORITY facilities, sizing pipelines for potable water transmission and distribution,
wastewater pumping and force mains, reclaimed water transmission and their associated costs
(see attached Figure, Exhibit 1). The LAMPA will continue to change over time as different
"pods" are developed. The CONSULTANT will serve as the AUTHORITY's Program Manager,
completing tasks related to that function and assisting the AUTHORITY in engaging other
consultants for specific design and construction services tasks related to infrastructure that
needs to be constructed as the LAMPA builds out. It is anticipated that future amendments to
to this authorization will be required to adjust and meet the needs of the AUTHORITY.
Project Background and Description
The AUTHORITY has received a request for utility services to the LAM PA and is designing and
building the plant infrastructure to provide those services. Separately, in this effort, the utility
seeks planning for the first five (5) major pipeline segments, shown on Exhibit 1 as bold colored
lines, as well as cost apportionment. (Note: unless otherwise specified, references to these five
segments should be interpreted to include water, wastewater and reclaimed water.) However,
in order to provide service the AUTHORITY must master plan the entire development for water,
wastewater, and reclaimed water services and release elements for design and construction
over the next five (5) years. These packages will be timed to be released with the new roadway
elements when possible and to meet the needs of development areas as required. The phasing
and master planning recommendations for the development and design packages will be based
on criteria developed in conjunction with AUTHORITY staff. The evaluation criteria will consist
of life-cycle costs and non-cost factors such as ease of implementation. The CONSULTANT will
provide a recommended approach and identify the tasks and costs required to implement each
construction element. Following the master planning, the CONSULTANT will provide program
management of the different elements being constructed, which will include preparation of
requests for qualifications (RFQs) to solicit consultants for implementation of the program
elements, provide review of the consultant's work, and otherwise support the AUTHORITY's
program.

A. Scope of Services
Upon authorization to proceed from the AUTHORITY, the CONSULTANT will provide the
following identified services. This authorization shall be in effect until the CONSULTANT
completes all services as described in the CONSULTANT Supplemental Agreement and any
subsequent modifications hereto or the AUTHORITY elects to cancel for any reason.
PHASE 100 — PROJECT MANAGEMENT & COMMUNICATIONS
Task 101 — Project Management
This task consists of overall management of the Project including contract administration, budget
management, invoicing, monthly status reports, project scheduling, and coordination with the
AUTHORITY and CONSULTANT's sub-consultants. In this initial scope of services, 24 months of
project management and communications services are included. Additional project management
and communication services beyond the initial 24 months will be included in future authorizations.
Task 102 — Meetings
The CONSULTANT will attend the following meetings with the AUTHORITY. The meetings will
be conducted at the AUTHORITY's office except as indicated. The CONSULTANT will prepare
a meeting agenda and meeting minutes. Meeting minutes shall be distributed within three
to working days of the date of the meeting. Additional anticipated meetings include but are not
limited to:
1. Kick-off meeting.
2. Hydraulic model review meeting.
3. Phasing meeting.
4. Site visits to evaluate existing corridors.
5. Monthly progress meetings (12 meetings at the AUTHORITY and 12 meetingsvia
Teams).
6. Meeting with the developer and developer engineer for the first five (5)major
pipeline segments (at the AUTHORITY).
7. Other project-related meetings with consultants, contractors and regulatory agencies
as needed as work progresses on design and construction packages; five (5) such
meetings are included in this scope.
PHASE 200 — Data Collection & Hydraulic Modeling
Task 201 — Data Request and Review
The CONSULTANT will prepare and submit a detailed data request of information necessary for
completion of the scope of services. Such information may include former Master Plans;
capacity analysis reports; utility operations data; pumping run time reports; meter connection
information; utility budgets; water quality data; hydrogeological data; Consumptive Use Permit

(CUP) compliance correspondence; as well as wellfield, water production and wastewater
treatment operation history or other pertinent information or studies.
Task 202 — Hydraulic Evaluation (Water, Wastewater and Reclaimed Water)
The CONSULTANT will review the provided water, wastewater, and reclaimed water demand
projections to hydraulically evaluate the infrastructure needs for all three systems. This task
provides for the evaluation of the systems in 5-year, 10-year, and 20-year scenarios. It is
anticipated that the modeling will evaluate the interconnection and ability to move water,
wastewater, and reclaimed water within the LAMPA and the AUTHORITY's water and wastewater
plants in the area, including the Mid-Clay Water Reclamation Facility (WRF); Meadow Lakes WTP;
Peters Creek WRF; Peters Creek WTP; Saratoga Springs WTP and reclaimed water plant (RWP);
Pier Station WTP; and Governor's Park WTP and RWP (and others). The intent of the model will
be to:
• Develop percentages of capacity use of the AUTHORITY's facilities by the LAMPA
versus surrounding areas.
• Evaluate system capacity for transfer of water, wastewater, and reclaimed water that
will move through the development and provide capacity to surrounding areas for major
transmission mains (12" or larger).
• Evaluate near-term shifting of wastewater from the Peters Creek WRF service areato
the Mid-Clay WRF through existing infrastructure, with evaluation and cure of any
to bottlenecks preventing this transfer.
• Evaluation of the required hydraulic capacity of the first five (5) major pipeline
segments, identified on Exhibit 1 in bold colored lines, that generally run east-west
through the north half of the LAM PA.
• Recommendation for locations of master pump stations/booster stations.
The CONSULTANT will review the existing hydraulic models of the AUTHORITY for the water,
reclaimed water, and wastewater systems. The AUTHORITY will provide the model from the
LAM PA developer, which will be reviewed by the CONSULTANT and incorporated into a
combined model with the AUTHORITY's model. Hydraulic modeling of the existing and future
potable water, reclaimed water, and pressure wastewater models will be conducted.
The hydraulic model will be reviewed with the AUTHORITY and comments received will be
incorporated into the model. A modeling report that documents the assumptions and outputs
shall be prepared and submitted to the AUTHORITY, along with the model.
The CONSULTANT will coordinate with the AUTHORITY and developer to provide a
conceptual-level system phasing plan for construction of the required pipeline infrastructure,
using 5-year, 10-year, and 20-year scenarios. The phasing plan will be provided to address the
development construction needs and will also consider the AUTHORITY's facility capacities and
interconnection needs. Conceptual level capital improvements program (CIP) and costs will be
prepared with the phasing plan.

A report that summarizes the modeling, the proposed phasing and CIP shall be submitted as a
report for review and finalized after AUTHORITY comments.
PHASE 300 — DESIGN REVIEW SERVICES
Task 301 — Plan Review
The CONSULTANT shall act as Program Manager for scoping, engagement of consultants, and
oversight of design, bidding, and construction of the AUTHORITY's projects, as well as review
plans prepared by the AUTHORITY's consultants and the developer's engineer for consistency
with the hydraulic modeling of Task 200 and the AUTHORITY's standards.
Specifically included in this scope of services is review of the plans for the utility pipelines within
the major connector corridor identified and shown in green on Exhibit 1. This project is in final
plan review and nearing construction. The CCUA pipelines will be built as part of the LAMPA
road construction. The CONSULTANT shall verify the sizing of the pipeline based on the
hydraulic modeling conducted under Task 202 and provide the AUTHORITY recommendations
on cost sharing as described below in Task 302. There are four (4) additional proposed pipeline
segments included in this scope of services; they are shown on Exhibit 1 as red, turquoise, black
and yellow bold lines.
Other water, wastewater and/or reclaimed water pipelines will be designed by the AUTHORITY
to or by consultants chosen either through CCUA's continuing services contracts, or competitively
procured through RFQ packages prepared by Dewberry. For either approach, the
CONSULTANT will provide program management services to assist the AUTHORITY in
soliciting design services for the additional four (4) pipelines, which will be executed using
traditional design/bid/build construction packages. The CONSULTANT's services for any
additional pipelines will be authorized under amendments to this authorization.
Task 302 — Developer Cost Allocation
The CONSULTANT shall independently estimate the construction cost for the pipelines shown in
bold green on Exhibit 1, compare those costs to the construction cost estimates provided by the
developer's engineer/constructor for reasonableness, and provide the AUTHORITY a
recommendation as to any modifications required. The CONSULTANT shall provide the
AUTHORITY a recommendation as to the cost sharing of the pipeline between the AUTHORITY
and the developer based on the actual usage of the pipeline by the development versus the
capacity used by the AUTHORITY to interconnect its water, wastewater, and reclaimed water
facilities for reliability and to serve areas outside of the LAMPA. This determination will be based
on the hydraulic modeling of Task 202. This scope of services includes similar evaluations for
water, wastewater, and reclaimed water for the other four (4) major pipeline segments previously
referenced herein. Any additional evaluations will be subject to future authorizations.
Task 303 — Mid-Clay WRF Wastewater Flow Transfer
The CONSULTANT shall utilize the hydraulic modeling of Task 202 to evaluate needed

construction/operational improvements to transfer a portion of the wastewater service area from

the Peters Creek WRF to the Mid-Clay WRF. A conceptual plan will be developed and reviewed
with the AUTHORITY and shall include a cost opinion. Detailed design plans, if required, shall
be authorized separately.
PHASE 400 — BIDDING SERVICES
Task 401 — Developer Plan Bidding Services
It is anticipated that pipelines that transverse the LAMPA will be designed either by the
AUTHORITY, or in some cases be constructed by the developer as part of the road and
development pods. The CONSULTANT shall assist the AUTHORITY in reviewing bid packages
prepared by the AUTHORITY's consultants as part of the Program. Pipelines constructed by
the developer are excluded from this review. Specifically included in this scope of services are
review of the five (5) major pipelines designed by the AUTHORITY's consultants as part of the
Program. Additional plan sets will be subject to future authorizations.
PHASE 500 —CONSTRUCTION SERVICES
Task 501 —Services During Construction
The CONSULTANT shall provide services during construction, which may include review of
to submittals and pay requests, periodic inspections, and/or full-time inspections. At this time the
specific services to be required have not been identified. Services required will be identified in a
future scope.

C. Schedule
The CONSULTANT will proceed with the services identified herein immediately upon receipt of
an executed copy of this Consultant Purchase Order and a formal Notice-to-Proceed (NTP)
from the AUTHORITY. Of special priority are Task 302 and Task 303. Task 202 shall be
delivered within (10) weeks of NTP. Task 303 shall be completed within four (4) weeks of the
delivery of the AUTHORITY's wastewater model as a conceptual plan. The project components
shall be delivered based on priorities set by the AUTHORITY over a 24-month period.
D. Compensation
to
This AGREEMENT establishes a cost not-to-exceed upper limit of$239,460.50. Compensation
for the services performed under this Agreement shall include all personnel services, any
reimbursable expenses, which may include, but are not necessarily limited to, such items as
reproduction, travel, communication expenses, and postage and shipping. Attachment A-1
shows the breakdown by task. Additional services may be authorized periodically by the
AUTHORITY to address needs of the LAM PA.
E. The AUTHORITY's Responsibilities
The AUTHORITY will provide the following information for the CONSULTANT and/or perform
the following services related to the Project:
• Allow CONSULTANT scheduled access to the project site(s).
• Provide one representative by the AUTHORITY to coordinate, schedule, and receive
comments/information related to this Project.
• The AUTHORITY will furnish the CONSULTANT with readily available studies,reports,
and other data pertinent to the CONSULTANT's services.
All documents and data provided by the AUTHORITY shall be provided in digital format (e.g.,
PDF, database files, spreadsheet, etc.) to the greatest extent feasible and practical.

F. Services Not Included
The following services are not included in the Scope of Services for this Project:
• Services during construction. These services may be authorized at a later time at the
AUTHORITY's discretion.
G. Assumptions
The Scope of Services and compensation arrangement outlined in this Consultant Purchase
Order are based on the following assumptions:
1. No model calibration is included in these services.
2. All topographic information will be based lidar information available.
3. The AUTHORITY will provide review comments on all information submitted within three
(3) weeks of receipt from the CONSULTANT.
