AGENDA ITEM:
Request for consideration and approval of Subordination of Utility Interests to accommodate the
Florida Department of Transportation's (FDOT) right-of-way acquisition for road widening, and
improvements to CR 220 in Middleburg.
Date: March 1, 2023
BACKGROUND:
In conjunction with FDOT's right-of-way acquisition for road widening and improvements to CR
220 in Middleburg, FDOT requested that CCUA subordinate portions of its utility rights over two
(2) parcels, as shown on FDOT's plan sheets attached hereto. We have included the proposed
Subordination of Utility Interests (SUI),prepared by FDOT, for your review and information.
As shown on the attached CCUA GIS Maps and FDOT plan sheets, FDOT's proposed
improvements will not impact CCUA's existing facilities with this project. CCUA negotiated
ca inclusion of clauses to also address future potential FDOT transportation impacts. FDOT agreed
a in this Subordination Agreement to pay costs for alterations, adjustments or relocation including
acquiring appropriate easements in this project area if the project directly impacts the Utility.

CCUA.

Staff recommends the Board of Supervisors approve the Subordination of Utility Interests.

SUBORDINATION OF UTILITY INTERESTS
THIS AGREEMENT, entered into this day of , 20
by and between the STATE OF FLORIDA DEPARTMENT OF TRANSPORTATION, 1109 South
Marion Avenue, Lake City, Florida 32025-5874, hereinafter called the FLORIDA DEPARTMENT
OF TRANSPORTATION, and CLAY COUNTY UTILITY AUTHORITY, ("Utility"), an independent
special district and political subdivision of the State of Florida, existing and created under
Chapter 94-491, Laws of Florida, Special Acts of 1994, 3176 Old Jennings Road, Middleburg,
Florida 32068-3907.

WHEREAS, the Utility presently has an interest in certain lands that have been
determined necessary for highway purposes; and
WHEREAS, the proposed use of these lands for highway purposes will require
subordination of the interest claimed in such lands by Utility to the FDOT; and
WHEREAS, the FDOT is willing to pay to have the Utility's facilities relocated if
necessary to prevent conflict between the facilities so that the benefits of each may be retained.
NOW, THEREFORE, in consideration of the mutual covenants and promises of the
parties hereto, Utility and FDOT agree as follows:
I. RECITALS
The recitals set forth above are specifically incorporated herein by reference and made
part of this Agreement.
II. SUBORDINATION
Utility, its successors and assigns, hereby SUBORDINATES any and all of the Utility's
interest in the real property, described in attached Exhibit A, (hereinafter "Property"), to the
interest of FDOT and its successors and assigns. Utility's interest in the Property is provided in

to III. OTHER PROVISIONS
A. Notwithstanding any provisions set forth herein, the terms of the utility permits shall
supersede any contrary provisions, with the exception of the provision herein with
reimbursement rights.
B. The Utility shall have the right to construct, operate, maintain, improve, add to,
upgrade, remove, and relocate facilities on, within, and upon the lands described
herein in accordance with the FDOT's current minimum standards for such facilities as
required by the FDOT, Utility Accommodation Manual in effect at the time the
agreement is executed. Any new construction or relocation of facilities within the lands
will be subject to prior approval by the FDOT. In the event an FDOT
transportation project directly impacts the Utility and necessitates new
construction or relocation of facilities, as agreed to by the parties, the
FDOT hereby agrees to pay the cost of such alteration, adjustment, or relocation,
including, but not limited to, the cost of acquiring appropriate easements ("Utility
Rights"). Additionally, should a request for new construction or relocation
of facilities within the lands not be approved by the FDOT or the FDOT
requires the Utility to alter, adjust, or relocate its facilities located within said lands,
the Utility Rights, as stated above, shall apply. Furthermore, should a future FDOT
transportation project require that the Utility lands being subordinated pursuant to this
Agreement be paved over in order to facilitate the FDOT project, the Utility shall also
be allowed to avail itself of the same Utility Rights.

C. The Utility shall have a reasonable right to enter upon the lands described herein for
the purposes outlined in Paragraph B above, including the right to trim such trees,
brush, and growth which might endanger or interfere with such facilities, provided
that such rights do not interfere with the operation and safety of the FDOT's facilities.
D. The Utility agrees to repair any damage to FDOT facilities and to indemnify the
FDOT against any loss or damage resulting from the Utility exercising its rights
outlined in Paragraphs B and C above; provided, however, that the Utility's liability
hereunder, when based on claims of negligence or other third party claims, shall be
limited as provided for under §768.28, Florida Statutes, as the same may be
amended from time to time.
E. The FDOT agrees to repair any damage to the Utility's facilities and improvements
located upon, under, within, across or over the lands described herein and to
indemnify the Utility against any loss or damage resulting from the Florida
Department of Transportation's use of any such lands as a public road and right-of-
way, provided, however, that the FDOT's liability hereunder, when based on claims
of negligence or other third party claims, shall be limited as provided for under
§768.28, Florida Statutes, as the same may be amended from time to time.

IV. EXECUTION OF DOCUMENTS
The parties agree that they shall promptly execute and deliver to the other all documents
necessary to accomplish the intent and purpose of this Agreement and shall do all other acts to
effectuate this Agreement, time being of the essence.
V. ENTIRE AGREEMENT
This instrument contains the entire agreement of the parties. No representations or
promises have been made except those that are set out in this Agreement. All prior and
contemporaneous conversations, negotiations, possible and alleged agreements and
representations, covenants, and warranties with respect to the subject matter hereof are
waived, merged herein and superseded hereby.
VI. WAIVER
The failure of either party to insist on one or more occasions the strict performance or
compliance with a term, provision or otherwise of this Agreement shall not be deemed a waiver
or relinquished in the future of the enforcement thereof, and it shall continue in full force and
effect unless waived or relinquished in writing by the party to be charged.
VII. INTERPRETATION
No provision in this Agreement shall be interpreted for or against any party because that

party or that party's legal representative drafted the provision.
VIII. CAPTIONS
Paragraph title or captions contained herein are inserted as a matter of convenience and
reference and in no way define, limit, extend, or describe the scope of this Agreement or any
provision.
VIIII. SEVERANCE
If any section, paragraph, clause or provision of this Agreement is adjudged by a court of
competent jurisdiction to be invalid and unenforceable, all remaining parts of this Agreement
shall remain in full force and effect and the parties shall be bound thereby so long as the
principle purposes of this Agreement remain enforceable.
X. MODIFICATION OF AGREEMENT
A modification or waiver of any of the provisions of this Agreement shall be effective only
if made in writing and executed with the same formality as this Agreement.
