Proposed Supplemental Agreement No. 1 with Proof+ Geist, LLC. (Proof+ Geist) to provide
Development Support Services.

BACKGROUND:
CCUA currently has one (1) staff member that is qualified to support the existing FileMaker
custom applications that support critical functions like payroll, billing, and other programming
efforts like the CCUA website, data warehouse and application integration support.
In consideration of CCUA's focused effort on a rapid and successful conversion from custom
built applications to commercially supportable platforms, we have engaged Proof+Geist to
provide additional support. Supplemental Agreement#2 authorizes Proof+ Geist to continue to
act as an easily accessible extension of CCUA's development talent providing legacy system
Help Desk support as well as development talent to support data extraction for the ERP.
The Professional Service Agreement with Proof+ Geist was approved at the February 7, 2023,
Board of Supervisors meeting. Proof+ Geist has proven to be an effective asset assisting with the
data migration needs of our ERP transition.
BUDGET:
The budget for this project was approved in the FY 2023/2024 Operating and Capital Budget. Staff
considers the fee of$90,000 until February 15, 2025, reasonable and competitive for the scope of
services provided.
RECOMMENDATION:
Staff respectfully recommends the Board of Supervisors approval of the Supplemental Agreement
No. 2 with Proof+Geist, LLC., to provide Continued Development Support

Statement of Work
Title: Additional time increments (Tasks Orders)for Clay County Utility Authority
Scope: Help Desk Support &Continued Support on ERP
ID: 957
This Statement of Work ID: 957 (the "Statement of Work" or "SOW") between Proof+Geist, LLC
("Proof+Geist") and Clay County Utility Authority ("the client") is issued to engage in software
development and support. This Statement of Work is issued pursuant to the agreed License and
Services Agreement.
Goals &Objectives
The objectives of this engagement as documented in the original SOW agreement between the
client and Proof+Geist. This Task Order amendment is a continuation of aforementioned goals &
objectives.
Proof+Geist's Responsibilities
Under this SOW, Proof+Geist will be responsible for:
• Perform mutually agreed upon software development, design, systems architecture, or
other work within our areas of expertise.
Client's Responsibilities
Under this SOW, the Client will be responsible for:
• Participating in defining the scope of work.
• Providing access to the Client system as well as any relevant system users in order to
determine required functionality as appropriate and necessary for Proof+Geist to carry out
their responsibilities under this SOW.
Task Orders Fees and Rates
• This SOW authorizes work not to exceed 1 Container for Help Desk Support — 50 hours
($11,250) effective until February 15, 2025.
• This SOW authorizes work not to exceed 3 Containers for Continued support on ERP —
150 hours ($33,750) effective until February 15, 2025.
• Time is billed at a rate of S225 per hour, rounded to the nearest quarter-hour and invoiced
monthly.
• Additional time will require a new Statement of Work.

Payment
• Payment for the services outlined in this SOW is due within 15 days of the date on such
invoice.
• Payment for expenses or requested time and services in excess of those covered in this
Purchase Order will be due within 15 days of such invoice.

The provision of Proof+Geist Products and/or Services shall be governed by the License and
Services Agreement and by the specific terms and conditions set forth herein. Any term not
otherwise defined herein shall have the meaning given in the License and Services Agreement. In
the event of a conflict between the terms and conditions set forth herein and the License and
Services Agreement, the terms and conditions set forth in the License and Services Agreement
shall control unless, and only to the extent that, a provision in this Statement of Work expressly
overrides a particular provision in the License and Services Agreement identified by section number
and heading.
