HomeMy WebLinkAbout08.g EDB MOU CCUA and TOOP Operators MEMORANDUM OF UNDERSTANDING This Memorandum of Understanding (MOU) is entered into by and between the Town of Orange Park,hereinafter referred to as "Orange Park" and Clay County Utility Authority, an independent special district established under Chapter 94-491, Laws of Florida, Special Acts of 1994, hereinafter referred to as CCUA. Parties may be referenced individually as "Party" and collectively as"Parties." Purpose Orange Park has a need for the services of licensed water and wastewater operators, for which CCUA is willing to assist. This MOU is designed to detail the working relationship between the Parties for this purpose. Term and Termination This MOU becomes effective on the later of November 5, 2024, or the date it is signed by both parties. It remains in force until the earlier of being terminated, in writing,by either party, after CCUA has provided 80 hours of employee services, or February 1, 2025 . Scope CCUA will endeavor to provide licensed water or wastewater operators, not to exceed 4 hours total in any given calendar week. Each week by 10 AM Tuesday, Orange Park's Public Works • Director(PWD) shall send a request for licensed operators for the upcoming weekend to CCUA's Chief Operations Officer (COO) at dmuse@clayutility.org with copy to its Chief Human Resources Officer at krichardson ruiclayutility.org. CCUA's COO will advise Orange Park's PWD by email at kcroce@townop.com by 4 PM Wednesday whether or not CCUA is able to fulfill this request, and the names of the employees assigned when available. Assignment of employees shall be at the sole discretion of CCUA. ailEng CCUA will send monthly invoices by email to Orange Park's PWD for its cost of employee wages, straight or overtime as applicable,marked up by 17.65% for payroll taxes and pension. Orange Park shall pay CCUA within the time provided in Florida's Local Government Prompt Payment Act for non-construction services. Special Provision 1. CCUA, its agents, and employees shall not be responsible for any costs or damages suffered by Orange Park if a scheduled employee fails to arrive for or to complete an assigned shift, or if CCUA does not provide employees. 2. Orange Park is responsible for supervising and directing the work of CCUA's assigned employees. Accordingly, Orange Park is solely liable for the acts and omissions of CCUA's assigned employees and will hold CCUA harmless for the work, acts, and omission of these employees arising out of work they perform for Orange Park under this agreement, IN WITNESS WHEREOF,the Parties have executed this Agreement, effective as of the date indicated above.
