THECONTRACTANDTHECONTRACTDOCUM[ENTS I.ITheContractandContractDocuments l.1.I TheContractbetweentheCCUAandtheContractor,ofwhichthisAgreementisa pan,shallconsistoftheContractDocuments. 1.1.2 1.1.4 ExhibitBtothisContractaretherequlrementsrelatedtopublicassistancemonies relatedtoFEMA. 1.2ContractTermandExtension l.2.IUnlessterminatedororextended in accordance withotherprovisions contained herein,theinitialtermoftheContractshallbeginonthedateofsignaturebyCCUA (”E鎖ectiveDate”)andshallremainine掻ectあraperiodofthree(3)years(36 months丘omthe“EぼectiveDatご’oftheAgreement). 24th February 1.2.2 per貴)rmed・underthetermsoftheContract.CCUAreservestherighttoFu式her extendtheContract,asnecessary,tocompleteanyongoingprects,orasbest se1′estheneedsofCCUA. 1.3EntireAgreement l.3.I TheContract,togetherwiththeContractor’sPublicConstructionBond(s)(as applicable),andCeni賃catesoflnsuranceconstitutestheentireagreementbetween theCCUAandtheContractor.Speci賃cal1butwithoutlimitation,theContract supersedesanyBidDocumentnotlistedamongtheContractDocumentsdescribed hereinandallpriorWriはenand/ororal communications,represent肌ions,and negotiations,ifany,betweenCCUAandContractor,excludingthosedocuments whichmakeuptheContractasenumeratedinsectionl.1.2above. 1.4Noprivitywithothers l.4.I NothingcontainedintheContractshallcreateorbeinteIPretedtocreateprivityor anyothercontractualagreementbetweenCCUAandanypersonorentityotherthan theContractor. 1.51ntentandlnterpretation l.5.I TheintentoftheContractistorequirecomplete,correct,andtimelyexecutionof theW′ork.Anyworkthatmayberequired,imP1ied,orin角rredbytheContract Documentsasnecessa1γtoproducetheintendedresultshallbeprovidedbythe ContractorfortheprectPriceasprovidedbySupplementaIAgreementor Purchaseorder. 1.5.2 The Contract is intendedtobe anintegralwhole andshallbeinterpretedas internallyconsistent.AnyContractDocumentshallbeconsideredasrequiredby theContract. 1.5.3 WZhenaword,termorphraseisusedintheContract,thetermshallbeinterpreted orconstrued,6rst,asde賃nedherein;second,ifnotdeG‐ned,accordingtothe generallyacceptedmeaningintheconstructionindustry;andthird,ifthereisno generallyacceptedmeaningintheconstructionindustry,accordingtoitscommon andcustomaryusage・ 1・5.4 Thewords“include,““includes“or“includingぞ asusedintheContract,shallbe deemedtobeFollowedbythephrase”withoutlimitation“. 1.5.5 Thespeci云cationhereinofanyact,魚ilure,reFusal,omission,event,occuぱence,or conditionasconstitutingamaterialbreachoftheContractshallnotimplythatany other,non-speci五edact,魚ilure,refusal,omission,event,occurrence,orcondition shallbedeemednottoconstituteamaterialbreachoftheContract. 1.5.6 VVordsortermsusedasn‐ounsintheContractshallbeinclusiveoftheirsingular andpluralおormsunlessthe contextoftheirusageC1earlyrequiresaconLtraリノ meanlng, 1.5.7 Theheadings,titlesandcaptionscontainedhereinareinserted危rconvenienceonly andinnowayareintendedtointerPret,de行ne,orlimitthescoPe,extent,orintent oftheContractoranyprovisionthereof. 1.5.8 TheContractorshallhaveacontinuingdutytoread,carefullystudyandcompare eachoftheContractDocuments,theShopDrawingsandtheProductDataandshall g・vewrittennoticetoCCUAofanyinconsistency,ambiguity,error,oromlsslon which the Contractor may discover with respect tothese documents beおore proceedingwiththea伍ected帆/ork.TheissuanceortheexpressorimpliedaPproval byCCUAoftheContractDocuments,ShopDrawings,orProductDatashallnot relieve Contractorofthe continuing duty set危rth inthisparagraph.Bythe executionhereotheContractoracトロlowledgesandrepresentsthattheContractor hasreceived,reviewed,andcarefullyexaminedsuchdocuments,has化undthem tobe complete,accurate,adequate,consistent,coordinated,and suf行cientあr construction.TheContractorfu=heracロlowledgesthattheyhavenot,doesnot,and shallnotrelyuponanyrepresentationorWarrantiesbyCCUAconcerningsuch documentsasnosuchrepresentationorwarrantieshavebeenorareherebymade. 1.5.9 NeithertheorganizationofanyoftheContractDocumentsintodivisions,sections, paragraphs,a貧icles,(orothercategories),northeorganizationora菖angementof theDesign,shallcontroltheContractorindividingthe÷W/orkorinestablishingthe extentorScopeofWorktobeper角rmedbysubcontractors,unlessexPresslystated intheContractDocuments. 1.60wnershipofContractDocuments l.6.I TheContractDocuments,andeachofthem,shallremainthepropertyofCCUA. The Contractor shall have the rightto keep one record set oftheContract DocumentsuponcompletionoftheWork;provided,however,thatinnoeventshall theContractoruse,orpermittobeused,anyorallsuchContractDocumentson otherprectswithoutCCUA1spr・orWriはenauthorization, 2 THEWORK 2.IThe Contractor shall provide all labor,services,materials,and equipment required, implied,orreasonablyin免rable丘omtheContracttoaccomplishtheworkdescribedinthis Contract. 2.2Theterm’‐帆/ork”shallmeanwhateverisdonebyorrequiredoftheContractortoper危 m andcompleteitsdutiesundertheContract,includingbutnotlimitedtothe危1lowing: constructionofthewholeoradesignatedPanofapr噂ectasset危rtheachSupplementaI AgreementofPurchaseorder;FumishingofanyrequiredSuretyBondsandinsurance;and theprov1s1onorfurnishingoflabor,supervision,services,materials,supplies,equipment, G ‐xtures,appliances,翫cilities,tools,transportation,storage,power,control systems, permitsandlicensesrequiredoftheContractor,fuel,heat,light,coolingandallother utilitiesasrequiredbytheContract.The÷WorktobeperあrmedbytheContractoroneach Prqjectshallbespeci賃CallydescribedinandauthorizedbySupplementaIAgreementor Purchase〇rderissuedbyCCUA.EachSuPP1ementaLAgreementorPurchase〇rderissued byCCUAunderthe ContractshallfurthersPecifytheamountoftimePermi菖ed賞)r completionoftheWork(”PrectTimef’)andtheamounttobePaidascomPensation危r completionofWork(”Pr噂ectPrice’1). 2.3帆/orkdaysand帆/orkHours 2.3.I CCUAnormalbusinesshoursare~londaythroughFriday8:ooamto5:oopm, Contractorswill be allowedalternate workhours f rom7:oo amto 5:oopm, excludingselectHolidaysobservedbyCCUA.CCUA’sof6rcialholidayschedule islocatedonCCUA’swebsite(HolidayHours:CCUA(clayutility.org】). 2.3.2 ContractormaybepermittedtoperあrmworkonCCUA’sof行cialholidaysor outsideofthenormalworkinghourswithprioraPproval丘omCCUA. 2,3.3 0venime(OT)hoursorhoursthatareperおrmedoutsideofanormalworkdayor workweek,includingweekendsandholidaysshallbeapprovedinadvanceby CCUA,except危remergencywork.AdditionalcostsincurredbyCCUAinthe perあrmanceofapprovedOTworkshallbetheresponsibilityoftheContractor, 3 PROJECTT1“[E 3.ITimeandLiquidatedDamages 3.1・I TheContractorshallcommencetheWorkおoreachprectuponreceiptofaNotice toProceed,orasstatedonthefullyexecutedSupplementaIAgreementorPurchase order,issuedbyCCUA,andshallreachSubstantialandFinaICompletionofal1 ′orkasspeci6redbySuPplementaIAgreementorPurchaseorder. 3,1.2 Foreachprect,thenumberofcalendardays丘omthedateonwhichtheWorkis perminedtoproceedthroughthedateset危rthintheSupplementaIAgreementor Purchaseorder免rFinaICompletionshallconstitutethe”Pr明ectTime.” 3.1.3 Unlessadi駈erentliquidateddamageamount角rapanicularprectisestablished, theContractorshallpayCCUA$500perday,貴)reachcalendardayofunexcused delayinachievingSubstantiaICompletionoftheW/orkbeyondthedatespeci賃ed bySupplementaIAgreementorPurchaseorderForSubstantiaICompletionofthe 帆/ork.AnysumsdueandpayablehereunderbytheContractorshallbepayable,not asapenalty,butasliquidateddamagesrepresentinganestimateofdamageslikely to be sustained by CCUA,estimated at or be危re the time ofissuing the SupplementaIAgreementorPurchaseorder.CCUAshallbeentitled,butnot required,towithhold丘omanyamountsotherviseduetheContractoranamount 3,2SubstantiaICompletion 3.2.1 1’SubstantiaICompletion”shallmeanthatstageintheprogressionofthevvork whenthe帆/orkissuf五cientlycompleteasprovidedbySupplementaIAgreement orPurchaseorderthatCCUAcanei可oybene負CialuseoroccuPanCyofthework andcanutilizetheVVorkおbritsintendedpurPose. 4 PROJ1CTPR1CE 4.IThepr明ectPrice 4.1.1 CCUAshallpay,andtheContractorshallaccept,as肴ullandcompletepaymentおor alIW/orkrequiredbyeachSupplementaIAgreementorPurchaseorder,theamount speci賃edandauthorizedbyeachSupP1ementaIAgreementuponcompletionofthe Work倉)reachprqiect. 5PAYM[ENTOFTHEPROJECTP1RU[CE 5.IScheduleofValues 5.1.IUpon request by CCUA,theContractorshall submitSchedule ofValues allocatingthePr噂ectPricetothevariousponionsoftheWorkincludedinthe SupplementaIAgreementorPurchaseorder危reachprect.TheContractoris ScheduleofValuesshallbepreparedinsuch免rm,withsuchdetail,andsupported by such data as CCUAmay require.The Contractor shallnot imbalance its ScheduleofValues,norarti負ciallyin負ateanyelementthereof.TheScheduleof ValuesshallbeusedonlyasabasisFortheContractorfsRequests危rPaymentand shallonlyconstitutesuchbasisa宣erithasbeenagreeduponbyCCUA. 5.2PaymentProcedureあreachSupplementaIAgreementorPurchaseorder 5.2.I CCUAshallpaythepr噂ectPricetotheContractorasprovidedbelow・ 5.2.2 ProgressPayments‐BasedupontheContractorlsRequestsおorPaymentsubmitted toCCUAbytheContractor’sConstructionPr叫ectManager,CCUAshallmake progresspaymentstotheContractor.Retainageintheamountof賃vepercent(5%) willbewithheld丘omeachprogresspaymentuntil負nalcompletionisachievedおor theSupplementaIAgreementorPurchaseorder. 5.2.3 onorbe角rethe6貴eenth(15th)dayofeachmontha宣ercommencementofthe wrork角reachSupplementaIAgreementorPurchaseorder,theContractorshall submitanApplication危rPayment危rtheperiodendingthethinieth(30th)dayof thepreviousmonthtoCCUAinsuchFormandmanner,andwithsuchsuppoはing dataandcontent,asCCUAmayrequire.Therein,theContractorshallrequest payment角rthatponionofthePrectPriceproperlyinco中oratedintheWorkless thetotalamountofpreviouspaymentsreceived丘omCCUAandlessretainageof 5%. 5.2.3.ISuchApplicationFbrPaymentshallbesignedbytheContractorandshall constitutetheContractor,srepresentationthattheWアorkhasprogressedtothe level危rwhichpaymentisrequested,thatthe÷汎/orkhasbeenproperlyinstalled orper角rmedinGullaccordancewiththeContractDocuments,andthatthe Contractorlqlowsofnoreasonwhypaymentshouldnotbemadeasrequested. Therea代er,CCUA(andCCUA’sEngineerifapplicable)shallreviewthe ApplicationForPaymentandmayalsoreviewtheWorkattheprdectsiteor elsewheretodeterminewhetherthequantityandqualityofthe帆/orkisas representedintheApplication危rPaymentandisasrequiredbytheContract Documents,CCUAshallmakepaymentswithinthiny(30)daysあ1lowing CCUA’sreceiptofeachcorrectApplication危rPayment,Theamountofeach Paymentshallbetheamountcerti賃ed云orPaymentbyCCUA1esssuchamounts, ifany,otherwiseowedbytheContractortoCCUAorwhichCCUAshallhave therighttowithholdasauthorizedbytheContract.ApprovaloftheContractor’s Application危rPaymentshallnotprecludeCCUA丘omtheexerciseofanyof itsrightsassetあrthinParagraph5.3hereinbelow. 5.2.4 TheContractorwarrantsthattitletoalIJWrorkcoveredbyaPayApplicationshall passtoCCUAnolaterthanthetimeofpayment.TheContractorFunherwarrants thatuponsubminalofanApplicationあrPayment,all帆/orkfbrwhichpayments havebeenreceived丘omCCUAshallbe登eeandclearofliens,claims,security interestorotherencumbrancesin魚voroftheContractororanyotherpersonor entitywhatsoever, 5.2.5 TheContractorshallpromPtlypayeachSubcontractoroutoftheamountPaidto theContractoronaccountofsuchSubcontractor’sWork,theamounttowhichsuch Subcontractorisentitled. 5.2.6 Noprogresspayment,noranyuseoroccupancyofanypr叫ectbyCCUA,shallbe interPretedtoconstituteanaccePtanceofany帆′orknotinstrictaccordancewith theContractDocuments. 5.3u/ithheldPayment 5.3.I CCUAmaydeclinetomakepayment,maywithholdFundsand,ifnecessary,may demandthereturnofsomeoralloftheamountspreviouslyPaidtotheContractor, toprotectCCUA丘omlossbecauseof: 5,3,1.lde]代)ctive帆′orknotremediedbytheContractorand,intheopinionofCCUA, notlikelytoberemediedinatimelymannerbytheContractor, 5,3,1.2claimsofthirdpaniesagainstCCUAorCCUAISPrope【y, 5.3,1.3魚ilurebytheContractortoPaySubcontractorsorothersinaPro]mーptandProPer 魚shion, 5.3,1.4evidencethatthebalanceofthe÷Workcam・otbecompletedinaccordancewith the SupplementaIAgreementorPurchaseorderおorunpaidbalanceofthe pr叫ectPrice, 5.3.1.5evidence thatthe 帆/ork shall not be completed in thetime required 危r SubstantialorFinaICompletionofthe\フvork, 5.3.1.6repeated魚ilure(弾Joormoretimes)tocarryouttheWorkasspeci負edby SupplementaIAgreementorPurchaseorder 5.3.1.7damagetoCCUAorathirdparロメtowhomCCUAis,ormaybe,liable, 5.3.1.8failurebytheContractortotimelypay,any,andall,applicabletaxes,fees (includingPermitoruse発es),costs,orexpenses,associatedwiththePr叫ect. 5.3.1.9lntheeventthatCCUAmakeswrittendemandupontheContractorfbramounts previouslypaidbyCCUAascontemplatedinthis Contractorshallpromptlycomplywithsuchdemand. Subparagraph5.3.1,the 5.4SubstantiaICompletlon 5.4.I J W′hentheContractorbelievesthe÷W/orkrequiredbySupplementaIAgreementand Purchaseorder恥reachPr噂ectisSubstantiallyComplete,theContractorshall submittoCCUAalistofitemstobecompletedorco]ばected,W′henCCUAbased onaninspectiondeterminesthattheWorkisin魚ctSubstantiallyComplete,CCUA shallnoti写theContractorofSubstantiaICompletionoftheWorkandthedateon whichitoccurred.Contractorshallberesponsible危rpr噂ectsecuri夢,maintenance, heat,utilities,damagetothe÷W/ork,andinsurance,untiIFinaICompletion. 5.4.2 UntiIFinaICompletionandacceptanceofthe▽vorkbyCCUA,CCUAshallpay theContractoranamountequaltoninetyPercent(95%)ofthepr巧ectPrice.Five Percent(5%)oftheprectPriceshallberetaineduntiIFinaICompletion, acceptanceofthevvorkbyCCUAandFinaIPaymenttotheContractor 5.5FinaICompletionandFinaIPayment 5.5.I VVhenallthew/orkrequiredbySupplementaIAgreementorPurchaseorder云or eachpr叫ectisG‐nallycompleteandtheContractorisreadyforaFinallnspection, itshallnoti角 CCUAinwriting.Thereupon,CCUA(orit’sdesignee)shallmake Finallnspectionofthe帆/orkand,iftheW′orkiscompleteinfullaccordancewith thepr噂ectSupplementaIAgreementorPurchaseorderandtheSupplementaI AgreementorPurchaseorderhasbeenFullyper危rmed,CCUAshallpromptly issueFinaIPayment角rthepr明ect.lfCCUAisrequiredtorepeatitsFinal lnspectionofthe÷work,theContractorshallbearthecostofsuchrepetitionofthe work,theContractorshallbearthecostofsuchrepeatFinallnspection(s)which costmaybedeductedbyCCUA丘omthe丘nalpaymentdue. 5.5.2 TheContractorshallnotbeentitledtoFinaIPaymentunlessanduntilitsubmitsto CCUAitsaf五davitthatallpayrolls,invoices危rmaterialsandequipment,andother liabilitiesconnectedwiththeWorkoneachpr噂ect危rwhichCCUA,orCCUAIS Propertymightberesponsible,havebeenFullypaidorotherwisesatisGred;releases andwaivers ofclaims,including claims oflienfrom all subcontractors and suppliersaswellasanyandallotherpa”iesrequiredbyCCUA;consentofsurety, ifany,toFinaIPayment.lfanythirdparty魚ilsorrefusestoprovideareleaseof claimorwaiverofalienasrequiredbyCCUA,theContractorshalIFulnisha paymentbondsatis魚ctorytoCCUAtodischargeanysuchlienorindemniFyCCUA 丘omliability. 5,5.3 TheownershallmakeFinaIPaymentofallsums,duetheContractorwithinthirty (30)daysoftheCCUA’sexecutionofaFinaICe宣i6cate免rPayment. 5.5・4 AcceptanceofFinaIPaymentshallconstituteawarverofallclaimsagainstCCUA bytheContractor. 6CCUA 6.1lnformation,ServicesandDocumentsRequired丘omCCUA 6,1.1 lfnotpreviouslyprovided,CCUAshallendeavortoFurnishtotheContractor,at thetimeofissuingeachSuPplementaIAgreementorPurchase0rder,alIWriはen andtangiblematerialinitspossessionconcerningconditionsbelowgroundatthe siteoftheprect.ByFurnishingsuchmaterial,CCUAdoesnotrepresent,warrant, orguaranteeitsaccuracyeitherinwhole,inpart,implicitly,oratall,andshallhave noliability,there危re.CCUAshallalso愈mishsurveys,legallimitations,and utilitylocations(ifknown),andalegaldescriptionofthepr明ectsite.Copiesmay beprovidedinsteadoforiginals,ltshallbeincumbentuponContractortomake k llown its desire to obtain additional or uPdated inコ危mlation if Contractor justi負ablydeemsitnecessary角rtheproperandtimelyper危rmanceoftheWork.
