Reinstatement and First Amendment to Interlocal Agreement
Access by Clay County Fire Rescue through the Spencer's Crossing Wastewater Treatment Plant

BACKGROUND:
The Clay County Utility Authority(CCUA)and Clay County entered into an interlocal agreement
in 2013 allowing the Clay County Fire Rescue access to and the ability to cross through the
Spencer's Crossing Wastewater Treatment Plant. Clay County Fire Rescue's ability to cross
through the WTP saves valuable time in responding to emergencies in the Oakleaf area. In
addition, Clay County Fire Rescue's response time affects the communities Insurance Services
Office (ISO) rating, which in turn affects resident homeowner insurance rates.
Staff sees the request as consistent with a common public health and safety mission shared between
CCUA and Clay County. This reinstatement and first amendment remain consistent with the
original interlocal agreement. Staff supports entering the reinstated and first amendment to the
interlocal agreement with Clay County
RECOMMENDATION:
Staff respectfully request the Board of Supervisors' approval to execute the Reinstatement and First
Amendment to the Clay County Agreement/Contract No. 2012/2013-128AM1.

REINSTATEMENT AND FIRST AMENDMENT TO INTERLOCAL AGREEMENT
(Access by Clay County Fire and Rescue through Spencer Wastewater Treatment Plant)
This Reinstatement and First Amendment to Interlocal Agreement for access by Clay
County Fire and Rescue through Spencer Wastewater Treatment Plant ("First Renewal") is
entered into this day of November, 2025, between Clay County, a political subdivision of
the State of Florida (the County), and the Clay County Utility Authority, an independent special
district in the State of Florida (the CCUA). Capitalized words not otherwise defined herein shall
have the meanings ascribed to them in the Agreement.
RECITALS
WHEREAS, on June 25, 2013, the parties entered into the Interlocal Agreement for
access by Clay County Fire and Rescue through Spencer Wastewater Treatment Plant, Clay
County Agreement/Contract No. 2012/2013-128 ("Agreement"), which is incorporated herein by
reference and attached as Exhibit 1, wherein the CCUA agreed to allow the County's fire and
rescue vehicles to access the CCUA Wastewater Treatment Plant to expedite response times to
residential subdivisions adjacent to the CCUA property.
WHEREAS, the Agreement provided for an initial five-year term beginning on June 25,
2013; there are no renewal provisions in the Agreement; and
WHEREAS, the parties wish to enter into this Reinstatement and First Amendment to
reinstate the Agreement and extend its term as set forth herein.
NOW THEREFORE, in consideration of the foregoing recitals, the mutual covenants
and promises set forth herein, and for other good and valuable consideration, the receipt of which
is hereby acknowledged and all objections to the sufficiency and adequacy of which are hereby
waived, the parties agree as follows:
1. Incorporation of Recitals. The above recitals are true and correct and are
incorporated herein by reference.
2. Reinstatement. The Agreement is hereby reinstated in full.
3. Term. The Agreement shall continue and remain effective until either party
hereto elects to terminate by giving 30 days notice to the other party.
4. Ratification of Agreement. Except as expressly provided herein, all terms and
conditions of the Agreement, as amended, not affected by this Reinstatement and First
Amendment are incorporated herein and shall remain in full force and effect.
5. Counterparts. This Reinstatement and First Amendment may be executed in
counterparts, each of which when so executed shall be deemed to be an original, and such

counterparts shall together constitute and be one and the same instrument.
6. Authority. The parties agree to utilize electronic signatures and that the digital
signatures of the parties set forth below are intended to authenticate this Reinstatement and First
Amendment and have the same force and effect as manual written signatures. Each person
signing on behalf of the parties represents and warrants that he/she has full authority to execute
this Reinstatement and First Amendment on behalf of such party and that the Reinstatement and
First Amendment will constitute a legal and binding obligation of such party.

INTERLOCAL AGREEMENT
(Access by Clay County-Fire-and-Rescue through Spencer Wastewater Treatment Plant) -
THIS INTERLOCAL AGREEMENT (this Agreement) is made and executed as of this
RJ day of 11,J&9 , 2013, between Clay County, a political subdivision of the State of
Florida (the County), and the Clay County Utility Authority, an independent special district in
the State of Flon a the CCUA). -
Recitals
WHEREAS, the County operates an integrated fire suppression and emergency medical
service providing primary fire and rescue response throughout the unincorporated area of the
County and in certain municipalities; and,
WHEREAS, the CCUA operates a wastewater treatment plant in the Oakleaf area of the
County with access to and from the subdivision of Nature's Hammock to the west and Savannah
Glen to the east; and
WHEREAS, the County's current Fire Station distribution renders a significant number
of homeowners in the Oakleaf area outside of the boundary by which they could obtain a fire
protection credit under their homeowners'policies; and
WITEREAS, the County could significantly reduce the number of affected homeowners
if it is able to access through the CCUA's wastewater treatment plant property from the two
adjacent subdivisions described above and the CCUA is agreeable to allowing such access on
certain terms and conditions.

- In consideration of the foregoing Recitals, and for other good and valuable consideration,
including the mutual promises and covenants contained herein, the parties to this Agreement
agree as follows:
1. This Agreement is entered into pursuant to the provisions of Section 163.01,
Florida Statutes, commonly known as the "Florida Interlocal Cooperation Act of 1969" (the
Act), "the Act" and all applicable portions of the Act are made a part hereof and incorporated
herein as if set forth at length herein, including, but not limited to the following specific
provisions:
(a) All of the privileges and immunities and limitations from liability,
exemptions from laws, ordinances and rules, and all pensions and relief, disability,
workers' compensation and other benefits which apply to the activity of officers, agents,
o_r employees_of_theparties hereto when performing their respective functions within their
respective territorial limits for their respective agencies, shall apply to the same degree
and extent to the performance of such functions and duties of such officers, agents or
employees extra-territorially under the provisions of this Agreement.
(b) This Agreement does not and shall not be deemed to relieve any of the
parties hereto of any of their respective obligations or responsibilifies imposed upon them
by law except to the extent of the actual and timely performance of those obligations or
responsibilities by one or more of the parties to this Agreement, in which case
performance provided hereunder may be offered in satisfaction of the obligation or
responsibility.
(c) As a condition precedent to its effectiveness, and pursuant to Section
163.01(11), Florida Statutes, this Agreement and any subsequent amendments hereto
shall be filed with the Clerk of the Circuit Court of the County. Upon such filing, this
Agreement shall be deemed to have taken effect as of the date and year first above-
written.
2. As of the effective date of this Agreement, the CCUA agrees that Clay County
Fire and Rescue vehicles may access the CCUA property which is depicted on Exhibit A
attached hereto and by reference incorporated herein. Access from the west is via Wandering
Oaks Drive and Tract H in Nature's Hammock at Oakleaf Plantation subdivision (Plat Book 43,
page 67 of the public records of Clay County, Florida). Access from the east is via Savannah
Glen Boulevard and the utility plant ingress/egress easement described as Tract A in the
Savannah Glen Unit 4 subdivision (Plat Book 33, page 55 of the public records of Clay County,
Florida).
3. The CCUA agrees to provide Clay County fire and rescue personnel with a key
or lockbox combination for both the east and west gates so that Clay County personnel who need
to access the Wastewater Treatment Plant property may do so. Clay County agrees to use care to
ensure that the gates, if opened, are closed and locked after Clay County vehicles have passed
through.
4. Clay County Fire and Rescue personnel shall utilize the existing dirt roadway and
shall exercise care and limit speed appropriately as not to cause damage to CCUA property when
driving over and through the CCUA property.
5. Any notices required or permitted under this Agreement shall be deemed
delivered when mailed, postage prepaid by first class United States Mail, addressed to the
respective parties at the respective addresses set forth below.

6. The term of this agreement shall be for five years from the date this Agreement is
fully executed unless sooner terminated.
7. If any provisions of this Agreement shall for any reason be held to be invalid or
unenforceable, the invalidity or unenforceability of such provision shall not affect any of the
remaining provisions of this Agreement, and this Agreement shall be enforced as if such invalid
and unenforceable provision had not been contained herein.
8. Each party agrees that it will execute any and all documents or other instruments,
and take such other action as is necessary to give effect to the teuns and intent of this
Agreement.
9. Neither party may assign, transfer, or otherwise vest in any other person, any of
its rights or obligations under this Agreement without the prior written consent of the other party.
Such consent may be withheld for any or no reason.
10. No third party beneficiaries are intended or contemplated under this Agreement,
and no third party shall be deemed to have rights or remedies arising under this Agreement
against either party to this Agreement.
11. The Recitals set forth hereinabove form an integral part of this Agreement. When
construing this Agreement, all resort shall be had to the Recitals to the extent necessary to give
the fullest effect to the manifest intent of the parties set forth in this Agreement.
12 This Agreement shall be binding upon, and shall inure to the benefit of, the parties
hereto and their respective successors and permitted assigns.
13. No waiver by either party of any term or condition of this Agreement will be
deemed or construed as a waiver of any other tent'or condition, nor shall a waiver of any breach
be deemed to constitute a waiver of any subsequent breach, whether of the same or of a different
paragraph, subparagraph, clause,phrase, or other provision of this Agreement.
14. This Agreement shall be governed and construed under and pursuant to the laws
of the State of Florida, and the United States of America. Unless the parties otherwise agree, the
venue of any action or proceeding brought under the provisions of this Agreement shall be Clay
County, Florida.
15. All written materials and oral communications between either party shall be
deemed public information and shall remain a matter of public record in perpetuity unless
otherwise provided or allowed by law.
16. Time is of the essence with respect to this Agreement and each of its terms and
provisions.
17. In the event an attorney must be employed to enforce or interpret this Agreement,
the party prevailing on the majority of its claims, or which successfully defends against a
majority of the other's claims, shall be entitled to an award of reasonable attorneys fees and
costs, including fees and costs incurred from the date of referral of the dispute to the prevailing
party's attorney through the conclusion of litigation, arbitration, or other dispute resolution
proceeding, or incurred in bankruptcy or on appeal.
18. Subject to and within the limitations of Section 768.28, Florida Statutes, Clay
County shall defend and hold the CCUA harmless from any and all claims that may result from
its operations and use of the CCUA's property herein described including the payment of the
CCUA's attorneys' fees incurred as a result.
19. This Agreement shall be deemed effective as of the date and year first above-
written.
